These Terms of Service govern your access to and use of Woila (the "Service"), operated by Woila Inc., a company incorporated in Canada and based in Ottawa, Ontario ("we", "us"). By creating an account or using the Service, you agree to be bound by these terms.
1. Eligibility & accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for safeguarding your account credentials and for all activity under your account.
2. Plans, billing, and cancellation
Paid plans are billed monthly or annually via Stripe. You authorize automatic renewal at the end of each billing period unless you cancel through the in-product billing portal. Annual plans may include a free trial period; you will be billed automatically when the trial ends unless you cancel beforehand. See our Refund Policy for refund terms.
3. Credits and usage
Plan credits are allocated monthly and reset at the start of each billing period. Unused plan credits do not roll over. Credit packs (top-ups) are applied to your current period and unused top-up credits roll over to the next period. During a free trial, up to 50 credits can be used before the first payment; the rest of the plan's credits become available once that payment succeeds. Each action's credit cost is shown on the Billing page; chat messages use 1 credit, and long multi-step requests up to 3. Generations that fail in our pipeline are automatically refunded; generations that succeed are non-refundable except as required by law.
4. Acceptable use
You agree not to use the Service to generate, store, or distribute content that is illegal, infringes intellectual property, depicts minors in a sexual context, harasses any person, promotes violence, or violates the policies of connected third-party platforms (Meta, TikTok, Stripe, etc.). We may suspend or terminate accounts that violate these terms.
5. Connected accounts and third-party services
Connecting your Meta (Facebook, Instagram) or TikTok account grants the Service permission to read and write content on your behalf within the scopes you approve. For TikTok, those scopes cover reading your public profile, follower and like counts, and your public videos and their metrics, and — where you grant them — posting videos to your account or sending them to your TikTok drafts. You can revoke access at any time by disconnecting the account in the Marketing tab or from your TikTok account settings; revoking immediately invalidates the tokens we hold. You are responsible for content published from your connected accounts and for compliance with the third party's terms, including TikTok's Community Guidelines, Branded Content Policy and Music Usage Confirmation.
6. Intellectual property
You retain ownership of content you upload and content generated for you through the Service. You grant Woila a non-exclusive license to host, display, and process that content as necessary to operate the Service. Generated content is provided "as is"; we make no representations of originality or non-infringement of model outputs.
7. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Woila is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our total liability for any claim is limited to the amount you paid for the Service in the twelve months preceding the claim.
8. Termination
You may close your account at any time. We may suspend or terminate your account if you breach these terms or if continued provision of the Service is no longer commercially feasible. On termination, your right to use the Service ends immediately; we will retain or delete your data as described in our Privacy Policy.
9. Changes to these terms
We may update these terms from time to time. Material changes will be notified by email or in-product banner at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
10. Governing law
These terms are governed by the laws of your operating jurisdiction. Any dispute will be resolved in the courts of that jurisdiction unless mandatory consumer protection laws provide otherwise.
